Terms of Service
1. Acceptance of Terms
By accessing and using OpsUI's software platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
These Terms constitute a legally binding agreement between you ("Customer", "you", or "your") and OpsUI Ltd. ("OpsUI", "we", "us", or "our") governing your use of our Services.
2. Description of Services
OpsUI provides a modular Enterprise Resource Planning (ERP) platform designed for New Zealand businesses. Our Services include but are not limited to:
- Warehouse management and inventory tracking
- Order processing and fulfilment management
- Financial reporting and accounting integration
- Customer relationship management
- Business analytics and reporting
- Third-party integrations such as NetSuite (bidirectional sync) and NZ Couriers (label generation and tracking)
3. User Accounts and Responsibilities
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
- Provide accurate and complete information during registration
- Promptly update your account information as needed
- Notify us immediately of any unauthorized access or security breaches
- Ensure all users on your account comply with these Terms
- Accept responsibility for all activities that occur under your account
4. Subscription and Payment
OpsUI operates on a subscription-based pricing model. By subscribing to our Services:
- You agree to pay all fees associated with your selected plan
- Subscriptions are billed monthly or annually in advance
- All payments are non-refundable except as required by New Zealand law, including the Fair Trading Act 1986 and Consumer Guarantees Act 1993 where applicable
- We reserve the right to modify future pricing with 30 days' written notice, without changing fees already paid for the current billing period
- GST will be added to all prices where applicable under New Zealand law
5. Intellectual Property
All content, features, and functionality of the OpsUI platform, including but not limited to text, graphics, logos, and software code, are owned by OpsUI Ltd. and are protected by New Zealand and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to use our Services solely for your internal business purposes during your subscription period.
6. Data Ownership
You retain ownership of all data you input into the OpsUI platform. We do not claim ownership of your business data. You grant us a limited license to process your data solely for the purpose of providing the Services.
Upon termination of your subscription, you may request export of your data within 30 days. After this period, your data will be permanently deleted in accordance with our Privacy Policy.
7. Service Availability
We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.
8. Limitation of Liability
To the maximum extent permitted by New Zealand law, OpsUI Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.
Our total liability for any claim arising from or related to the Services shall not exceed the amount paid by you for the Services in the 12 months preceding the claim.
9. Termination
Either party may terminate this agreement with 30 days' written notice. Upon termination:
- Your access to the Services will be revoked at the end of the notice period
- You may request export of your data within 30 days
- We will delete your data in accordance with our Privacy Policy
- No refunds will be provided for unused portions of your subscription except where required by applicable law
10. Governing Law
These Terms are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of Auckland, New Zealand.
Privacy Policy
1. Information We Collect
OpsUI collects the following types of information:
- Account Information: Name, email address, company name, phone number, billing address
- Usage Data: Login times, features used, session duration, device information
- Business Data: Inventory records, customer data, financial data, orders, and other data you input
- Technical Data: IP address, browser type, operating system, device identifiers
2. How We Use Your Information
We use your information to:
- Provide, maintain, and improve our Services
- Process transactions and send related information
- Send technical notices, updates, and administrative messages
- Respond to your comments, questions, and support requests
- Analyze usage patterns to improve user experience
- Detect, prevent, and address technical issues and security threats
3. Privacy Basis (Privacy Act 2020)
Under the Privacy Act 2020, we collect and process your information based on:
- Performance of Contract: To provide the Services you have subscribed to
- Legitimate Business Interests: To improve our Services and ensure security
- Legal Obligation: To comply with applicable laws and regulations
- Consent: Where you have provided explicit consent for specific purposes
4. Data Security
We implement industry-standard security measures to protect your data:
- 256-bit SSL/TLS encryption for data in transit
- AES-256 encryption for data at rest
- Regular security audits and penetration testing
- Multi-factor authentication options
- Role-based access controls
- Regular backup and disaster recovery procedures
5. Data Storage and Processing
Your data is stored and processed in secure data centers located in New Zealand. We comply with Privacy Act 2020 requirements.
6. Your Rights Under the Privacy Act 2020
Under the Privacy Act 2020, you have the right to:
- Access: Request access to your personal information
- Correction: Request correction of inaccurate information
- Deletion: Request deletion of your data in certain circumstances
- Export: Export your data in a portable format
